Terms of Service

These Terms of Service ("Terms") govern your access to and use of base0, an e-signature and document workflow platform operated by ("base0", "we", "us", "our"), India. By creating an account or using the Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using base0, you confirm that you are at least 18 years old, have read and understood these Terms and our Privacy Policy (base0.tech/privacy), and agree to be bound by them. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.

For Customers who process personal data through base0, use of the Services also constitutes acceptance of our Data Processing Agreement (DPA) available at base0.tech/dpa.

2. Description of Services

base0 provides a B2B document signing and workflow platform that enables:

• Uploading and preparing documents for electronic signature.
• Sending documents to one or more signers via email or SMS.
• Collecting electronic signatures with full audit trails.
• Storing and retrieving signed documents securely.
• Integrating document workflows via API.

base0 reserves the right to modify, suspend, or discontinue the Services (or any part) at any time with reasonable notice.

3. Account Registration

• You must provide accurate, complete, and current registration information.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately at [email protected] of any unauthorized account access.
• You may not create an account on behalf of another person without their authorization.

4. Acceptable Use

4.1 Permitted Use

You may use base0 only for lawful document signing and workflow purposes in compliance with these Terms and all applicable laws.

4.2 Prohibited Use

You must not use base0 to:

• Sign, send, or store fraudulent, forged, or illegal documents.
• Impersonate any person or entity or misrepresent your identity.
• Send documents to individuals without a legitimate basis or their consent.
• Process documents containing content that is illegal, harassing, defamatory, or violates third-party rights.
• Attempt to gain unauthorized access to base0 systems or other user accounts.
• Use automated tools to scrape, extract, or systematically access the platform beyond normal API usage.
• Resell or sublicense access to the Services without written permission from base0.

Violation of these acceptable use provisions may result in immediate account suspension or termination.

5. Electronic Signatures — Legal Validity

Electronic signatures created through base0 are intended to comply with:

• The U.S. ESIGN Act and UETA — providing legal equivalence to handwritten signatures for covered transactions.
• eIDAS Simple Electronic Signature standard — for EU transactions where simple signatures are legally sufficient.

It is your responsibility as the Sender to determine whether electronic signatures are legally sufficient for your specific use case, jurisdiction, and document type. base0 does not provide legal advice. Certain document types (e.g., wills, property transfers, court filings) may require notarization or other formalities not provided by base0.

6. User Content

You retain all rights in the documents and content you upload to base0 ("User Content"). By uploading User Content, you grant base0 a limited, non-exclusive, worldwide license to store, process, and transmit your User Content solely for the purpose of providing the Services to you.

You represent and warrant that:

• You own or have the necessary rights to upload and share the User Content.
• Your User Content does not violate any third-party intellectual property, privacy, or other rights.
• You have obtained all necessary consents from Signers to process their personal data through base0.

base0 does not review the content of documents and is not responsible for User Content.

7. Data Processing

By using base0, you acknowledge and agree to our Privacy Policy (base0.tech/privacy), our Security Standards, and, for business customers, our Data Processing Agreement (DPA). You are the Data Controller for personal data submitted to base0; base0 processes this data as your Data Processor.

8. Pricing and Payment

Subscription pricing is as listed at base0.tech/pricing at the time of purchase. Payments are processed by Dodo Payments. You authorize base0 to charge your payment method on a recurring basis for your selected plan.

8.1 Refunds

Subscription fees are non-refundable except where required by applicable law, or at base0's sole discretion in cases of service failure directly attributable to base0. Requests for refund consideration should be submitted to [email protected] within 14 days of the charge.

8.2 Plan Changes

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately. Downgrades take effect at the start of the next billing cycle.

8.3 Suspension for Non-Payment

base0 reserves the right to suspend access to the Services for accounts with outstanding unpaid balances after providing reasonable notice.

9. Intellectual Property

The base0 platform, including its software, design, trademarks, and content (excluding User Content), is owned by and protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership rights to you.

You may not copy, modify, distribute, reverse-engineer, or create derivative works of any part of the base0 platform without prior written permission.

10. Service Availability

base0 aims to provide reliable, high-availability services but does not guarantee uninterrupted access. Scheduled and emergency maintenance may occasionally cause downtime. We will endeavor to provide advance notice of planned maintenance where possible.

base0 is not liable for losses arising from service unavailability caused by third-party infrastructure providers, force majeure events, or circumstances beyond our reasonable control.

11. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. base0 does not warrant that the Services will be error-free, secure, or uninterrupted.

12. Limitation of Liability

To the fullest extent permitted by applicable law, base0 and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from:

• Your use of or inability to use the Services.
• Unauthorized access to or alteration of your data.
• Any content or conduct of third parties on the Services.

In no event shall base0's total aggregate liability exceed the amount you paid to base0 in the three months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless base0 and its affiliates from any claims, damages, liabilities, and expenses (including legal fees) arising from: (i) your use of the Services; (ii) your User Content; (iii) your violation of these Terms; or (iv) your violation of any third-party rights.

14. Termination

Either party may terminate the Agreement at any time. You may terminate by deleting your account from Settings. base0 may terminate or suspend access immediately for material breach of these Terms, with or without notice.

Upon termination, your right to access the Services ceases immediately. base0 will retain and then delete your data per the retention periods in our Privacy Policy.

15. Changes to Terms

base0 may modify these Terms at any time. For material changes, we will provide at least 30 days' written notice via email. Continued use of the Services after the notice period constitutes acceptance. If you do not agree, you must stop using the Services before the changes take effect.

16. Governing Law

These Terms are governed by the laws of India. For EU/EEA customers, mandatory consumer protection laws of your country of residence also apply. Any disputes shall first be attempted to be resolved through good-faith negotiation; unresolved disputes shall be subject to the exclusive jurisdiction of the courts of Jaipur, Rajasthan, India.
